Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of SubCompliance, a tool that helps general contractors track subcontractor compliance documents — including insurance certificates, licenses, and tax forms — across their construction projects.
By creating an account or using SubCompliance in any way, you agree to these Terms. If you're using SubCompliance on behalf of a company, you're confirming you have the authority to agree to these Terms for that company, and "you" refers to both you and that company throughout this document.
If you don't agree with any part of these Terms, please don't use SubCompliance.
2. Service Description
SubCompliance is a cloud-based compliance management platform designed for General Contractors ("GCs") to collect, track, and monitor subcontractor compliance documents including but not limited to certificates of insurance, W-9 forms, trade licenses, safety certificates, and business licenses.
The Service is provided for informational and operational workflow purposes only. SubCompliance does not provide legal, insurance, financial, or regulatory advice. You are solely responsible for determining the compliance requirements applicable to your projects and jurisdiction.
3. Limitation of Liability for Compliance Status
The platform provides tracking and notification tools for subcontractor documentation solely as a convenience. Color-coded status indicators (including green "Cleared" indicators) reflect only the presence and unexpired status of uploaded documents based on dates provided. The platform makes no warranties, representations, or guarantees regarding the legal sufficiency, coverage limits, authenticity, or adequacy of any subcontractor's insurance policy or licenses. Users remain solely responsible for verifying subcontractor qualifications and insurance adequacy prior to site mobilization.
4. Eligibility
You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of yourself or your organization. By using the Service, you represent and warrant that you meet these requirements.
5. Account Registration
You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 6. Subscription Plans, Billing, and Renewal
SubCompliance offers paid subscription plans on a monthly and annual basis. Plan details and current pricing are available on our Pricing page. A free 14-day trial is available for new accounts.
- Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
- You authorize us and our payment processor, Dodo Payments, to charge your payment method on a recurring basis.
- Prices are displayed in US Dollars (USD). Applicable taxes may be added at checkout depending on your jurisdiction.
- We reserve the right to change pricing with at least 30 days' prior notice. Continued use after notice constitutes acceptance.
7. Cancellation and Refunds
You may cancel your subscription at any time from your billing settings. Upon cancellation, your account remains active until the end of the current paid billing period. No partial refunds are issued for unused time within a billing cycle.

8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law.
- Upload or transmit malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Scrape, copy, or reverse-engineer any part of the platform.
- Resell, sublicense, or offer the Service as a white-label product without written consent.
- Upload documents that contain false or fraudulent information.
9. Customer Data and Intellectual Property
You retain full ownership of all data, documents, and content you upload to the Service ("Customer Data"). You grant SubCompliance a limited, non-exclusive, royalty-free license to store, process, and transmit Customer Data solely to provide and improve the Service.
You are responsible for ensuring you have lawful authority to upload and process any personal data relating to your subcontractors, including obtaining any required consents under applicable law.
SubCompliance retains all rights in the platform, software, design, trademarks, and content created by us. These Terms do not transfer any intellectual property rights to you.
10. Third-Party Services
The Service integrates with third-party providers including Supabase (database and storage), Resend (email delivery), Dodo Payments (payment processing), and Vercel (hosting). Your use of the Service is subject to those providers' terms where applicable. We are not liable for the acts or omissions of third-party providers.
11. Availability and Maintenance
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of planned downtime where reasonably practicable.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.
13. Limitation of Liability
To the maximum extent permitted by applicable law, SubCompliance's aggregate liability to you arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to SubCompliance during the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall SubCompliance be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
Note: Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. The above limitations apply to the fullest extent permitted by law in your jurisdiction.
14. Indemnification
You agree to indemnify, defend, and hold harmless SubCompliance and its owner, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your Customer Data, your violation of these Terms, or your violation of any applicable law or third-party rights.
15. Suspension and Termination
We may suspend or terminate your account immediately and without notice if you:
- Violate these Terms or any applicable law.
- Fail to pay subscription fees when due.
- Engage in conduct we reasonably determine to be harmful to the Service or other users.
Upon termination, your right to access the Service ceases immediately. You may export your data prior to termination. We will retain Customer Data for up to 30 days after termination before permanent deletion, except where retention is required by law.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India, West Bengal, India.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
